XILINX COMPLETES PURCHASE OF SOFTWARE ASSETS  
SAN JOSE, Calif., January 5, 1999 -- Xilinx, Inc., (NASDAQ:XLNX), today announced it has completed the purchase of a number of software assets that the company announced on December 14, 1998, it was negotiating to buy. Xilinx will add the software assets to its portfolio of  programmable logic design tools.

The software assets include PLSynthesizer, a synthesis tool; ABEL, the industry's most widely used high-level description language for programmable logic devices; and Design Navigator, a team-based, web-enabled software environment that unites design entry, synthesis, place and route and simulation functions.

The company did not disclose the purchase price.  The transaction is not expected to have a material impact on the company's financial condition and results of operations.  Xilinx will account for the transaction during its fourth fiscal quarter ending April 3, 1999.
