XILINX ACQUIRES INTEGRAL DESIGN

1. Why did Xilinx acquire Integral Design?
Xilinx FPGAs will reach ten million system gates this year, providing
increasing functionality and flexibility to our customers. Integral's
expertise in professional design services (PDS) and embedded hardware and
software design provides Xilinx with critical system knowledge for large-scale
design. The acquisition will also allow Xilinx to expand its global
presence in PDS.
2. How will expanding PDS improve Xilinx services?
By adding a global design services presence to our current line of
silicon and software tools, Xilinx can now offer our customers an integrated,
total solution. Customers benefit from professional design services
by freeing up internal engineering services and accelerating design completion.
Our aim is to provide our customers with the fastest time-to-market consisting
of silicon, software, and service.
3. How will this effect the organization and management?
Joe Knox, cofounder of Integral Design, will assume the new role of
Director of European Professional Design Services. Knox will direct European
PDS from Dublin and report to Don Mullikin, Vice President of Global Services
Division. Mullikin will continue to direct Global Services from the Xilinx
headquarters in San Jose, Calif.
4. Will the "Integral Design" name be kept?
No. The Integral employees and business have been integrated
into the existing Xilinx PDS business.
5. What is the financial impact of the acquisition?
Terms of the agreement were not disclosed. The purchase is not
expected to have a material effect on Xilinx financial results.
6. Will Integral Design employees relocate to the Xilinx Dublin location?
Yes, within one year we expect to complete the current Xilinx Dublin
expansion and to have relocated all personnel. Construction to expand
the site will begin later this month.
7. Will there be a reduction-in-force as a result of the acquisition?
No. Offers have been given to each and every employee,
including co-founders Joseph Knox and Lionel Barker.
8. Will Xilinx continue to expand the Ireland location?
Yes. Xilinx plans to expand our European presence. Xilinx has
three major worldwide locations: San Jose, Boulder, and Ireland.
9. What is the size of the PDS market?
The total design services market is estimated at over $2 billion --
and growing fast. According to the Electronic Design Automation Consortium
(EDAC), revenues for EDA services have grown from $253 million in 1997
to $370 million last year, a nearly 50-percent increase.
