XILINX ACQUIRES VISUAL SOFTWARE SOLUTIONS

Technology will improve time-to-market for multimillion gate Virtex-II FPGA designs

SAN JOSE, Calif., November 2, 2000—Xilinx Inc., (NASDAQ: XLNX) announced today the acquisition of Visual Software Solutions, Inc. (VSS) a software company headquartered in Plantation, Florida.  Xilinx has also hired company principals responsible for the development of the technology. Their expertise will help Xilinx further extend its software leadership and allow it to deliver a variety of customized tools that facilitate HDL-based design using Xilinx® Virtex-II FPGAs, thus improving time-to-market. Terms of the acquisition were not disclosed. The purchase is not expected to have a material effect on Xilinx financial results.

Included in the acquisition are the VSS HDL Bencher and StateCAD design tools. HDL Bencher streamlines the HDL verification process of multimillion gate FPGAs enabling the development of complete, timing constrained VHDL and Verilog test benches to be developed, validated, and simulated in minutes. No knowledge of HDL scripting is required. StateCAD automates state machine development in VHDL, Verilog, and Abel and brings a robust state machine design into the Xilinx Foundation ISE software. To meet difficult design requirements, StateCAD optimizes the code it generates for speed, area, loading and more.

Availability
Both the HDL Bencher and StateCAD products will remain available for sale through existing VSS sales channels through December 31, 2000.  These products will also be made available for purchase online at www.xilinx.com during this time.
